End User License Agreement

This End User License Agreement ("EULA") is a binding agreement between the Client and Agere Infrastructure Partners S.L. ("Agere" or "Provider"). The EULA complements and must be read together with the Terms of Service. In case of conflict, the ToS shall prevail.
1. Machine Fingerprint and Access Control
1.1 Device registration: The Software implements a device identification mechanism (machine fingerprint) that associates a unique identifier to each Seat, generated from hardware and operating system characteristics. This identifier does not contain personal data but allows the Provider to verify authorized access within License limits.
1.2 Purpose: The machine fingerprint serves solely to ensure License integrity, prevent unauthorized use, and verify Seat limits.
1.3 Client obligations: The Client accepts the machine fingerprint mechanism as a condition for Software use and shall not circumvent, manipulate, falsify, or interfere with it. Any circumvention attempt constitutes a material breach.
1.4 Device change: When replacing a device, the Client may manage the machine fingerprint update from their user panel at beso.energy, unlinking the previous device and activating the new one. Alternatively, the Client may request the update from the Provider.
2. Software Integrity
2.1 The Client shall not modify, alter, adapt, translate, create derivative works, or otherwise alter the Software or any of its components, without prior written consent.
2.2 The Client shall not circumvent, disable, or interfere with any protection mechanism, access control, DRM, encryption, or integrity verification implemented in the Software.
2.3 If the Client discovers any vulnerability or security issue, they must notify the Provider immediately and refrain from exploiting or disclosing it.
2.4 Any breach of these integrity obligations constitutes a material breach, entitling the Provider to revoke the License immediately.
3. Technical Requirements
3.1 The Client is solely responsible for ensuring devices meet the minimum technical requirements published at beso.energy.
3.2 The Client must ensure: stable internet connection, proper firewall/proxy/antivirus configuration, up-to-date operating system, and compliance with internal security policies.
3.3 The Provider is exempt from liability for any malfunction arising from non-compliance with technical requirements.
4. Local Execution and User Data
4.1 The Software runs entirely on the User's device. All data entered by the User — including energy price data, project parameters, simulation results, and any other working data — remains stored exclusively on the User's device and is never transmitted to or accessible by the Provider.
4.2 Only data strictly necessary for service provision is transmitted: authentication credentials, license key, machine fingerprint, and optionally telemetry data. This data is processed in accordance with the Privacy Policy.
5. Telemetry
5.1 The Software may collect anonymous usage data (hours of use, features used) to improve the product. Telemetry collection is optional and requires explicit User consent.
5.2 The User may enable or disable telemetry at any time from the Software settings or by written communication to the Provider.
5.3 Telemetry data is processed in accordance with GDPR, LOPDGDD, and the Privacy Policy.
6. Uninstallation
6.1 Upon termination, the Client must immediately cease all use, uninstall the Software from all devices, and destroy any copies.
6.2 Upon Provider request, the Client must confirm uninstallation in writing within five (5) business days.
6.3 The Client is solely responsible for exporting data before termination.
7. Reference to Terms of Service
This EULA is granted within the framework of the Terms of Service, which are incorporated by reference in their entirety. In case of conflict, the ToS shall prevail. The ToS are available at all times at beso.energy/terms.
